1. Acceptance of Terms
By downloading, installing, or using the Nivi mobile application or visiting niviapps.com (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Nivi is a digital legacy management platform that allows you to:
- Create encrypted digital vaults (spaces) to store information about your assets, liabilities, responsibilities, and personal memories.
- Designate beneficiaries who will receive access to specific items upon your prolonged inactivity.
- Appoint custodians who independently serve as security guardians for your vault.
- Configure inactivity monitoring and a secure process for releasing access to your vault.
Nivi is a data management and communication tool. It is not a legal instrument, will, trust, or estate planning service. Using Nivi does not create any legally binding estate plan, will, or trust. You should consult a qualified legal professional for formal estate planning.
3. Account Registration
- You must be at least 18 years old to use the Service.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must not share your account with others or create multiple accounts.
- You agree to notify us immediately of any unauthorized use of your account.
4. Password and Encryption
Nivi uses advanced end-to-end encryption to protect your data. You must understand and accept the following:
- Your vault password is your responsibility. It protects all your vault data. We do not store your password and cannot recover it for you.
- If you lose your password and have not set up custodians, your data will be permanently inaccessible. Nivi cannot help you recover it.
- Custodian recovery is only possible if you have appointed custodians and the required number of them cooperates to restore your access.
- You are solely responsible for choosing a strong password and safeguarding it.
4a. No Guarantee of Security
While Nivi employs advanced encryption and security measures, no system is completely immune to all threats. You acknowledge that no method of electronic storage or transmission is 100% secure, and Nivi does not guarantee absolute security. The strength of your encryption depends in part on the strength of your chosen password and your safeguarding of your credentials.
4b. Assumption of Risk
You acknowledge and accept that the zero-knowledge architecture means Nivi cannot recover your data if you lose your password and have not configured custodian recovery. You assume full responsibility for maintaining access to your credentials and for configuring appropriate custodian and beneficiary arrangements. You understand that failure to maintain your password or to set up adequate custodian recovery may result in permanent, irrecoverable loss of your data.
5. Custodians and Beneficiaries
- You are responsible for selecting trustworthy custodians and accurate beneficiaries.
- Custodians are independent — they do not know who the other custodians are. This ensures no collusion can occur.
- Beneficiaries are not informed of their designation until access is actually released to them.
- Nivi facilitates the secure process of custodian coordination and data release. We do not verify the legal standing, identity (beyond biometric matching), or intentions of custodians or beneficiaries.
- The custodian process is a security safeguard, not a legal proceeding. It does not replace or override any legal will, trust, or court order.
- You acknowledge that once enough custodians agree and access is released, the process cannot be reversed through Nivi.
6. Inactivity Monitoring
- You configure the inactivity threshold and check-in schedule. Nivi monitors your last activity and initiates the custodian process when you exceed your configured threshold.
- It is your responsibility to check in regularly or adjust your settings if your usage patterns change.
- Nivi is not liable for premature or delayed activation of the custodian process due to technical issues, connectivity problems, or misconfigured settings.
7. Acceptable Use
You agree not to use the Service to:
- Store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Violate any applicable laws, regulations, or third-party rights.
- Interfere with or disrupt the Service or servers.
- Attempt to gain unauthorized access to other users' accounts or data.
- Use the Service for money laundering, fraud, or any other illicit financial activity.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service (except as permitted by law).
While we cannot inspect the contents of your encrypted vault (by design), we reserve the right to suspend or terminate accounts if we have reasonable grounds to believe they are being used for illegal purposes.
8. Intellectual Property
The Service, including its design, code, branding, and documentation, is owned by Nivi and protected by intellectual property laws. You retain full ownership of the data you store in your vault. By using the Service, you grant us a limited license to store and transmit your encrypted data solely for the purpose of providing the Service.
9. Subscription and Payments
- Nivi offers free and paid tiers. Feature availability and resource limits vary by tier.
- Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected).
- You may cancel your subscription at any time. Access to paid features will continue until the end of the current billing period.
- Refunds are handled according to the policies of the app store (Apple App Store or Google Play Store) through which you purchased the subscription.
10. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
- We may perform maintenance, updates, or modifications that temporarily affect availability.
- We are not liable for any loss or damage resulting from Service downtime or interruptions.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will meet your specific requirements or expectations, or that the Service will be uninterrupted, timely, secure, or error-free.
- We are not responsible for the actions or decisions of your custodians or beneficiaries.
- We are not liable for any data loss resulting from lost passwords, custodian non-cooperation, device failures, or any other cause outside our control.
- IN NO EVENT SHALL NIVI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR LOSS OF USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF NIVI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Our total aggregate liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or INR 5,000, whichever is greater.
11a. Force Majeure
Nivi shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to acts of government, natural disasters, pandemics, war, terrorism, cyber attacks by third parties, power failures, internet disruptions, failures of third-party service providers, or changes in applicable law or regulation.
12. Indemnification
You agree to indemnify and hold harmless Nivi, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Account Termination
- By you: You may delete your account at any time through the app settings. Account deletion permanently removes all your data (encrypted vault data, account information, identity markers, and attachments) within 30 days.
- By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will attempt to notify you before termination unless prohibited by law.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
15. Dispute Resolution
- These Terms are governed by the laws of India.
- Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
16. Changes to These Terms
We may update these Terms from time to time. When we make significant changes, we will notify you through the app or by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18. End User License Agreement
The Nivi mobile application is licensed, not sold, to you. Subject to your compliance with these Terms, Nivi grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the application on devices that you own or control, solely for your personal, non-commercial use. You may not sublicense, distribute, or make the application available to any third party. This license does not give you any ownership interest in the application or its content. Nivi reserves all rights not expressly granted herein.
19. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nivi regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.
